Membership Agreement

Universal terms for Work Lounge memberships

This Membership Agreement (“Agreement”) is between Modern Cowork (“Modern Cowork,” “we,” “us,” or “our”) and the individual accepting it (“Member,” “you,” or “your”).

By checking the agreement box and completing checkout, you confirm that you have read, understood, and agreed to this Agreement.

How Your Membership Details Are Determined

Your selected membership plan, billing option, price, primary location, start date, and checkout disclosures are incorporated into this Agreement.

If your checkout details conflict with a general description in this Agreement, the checkout details control your specific purchase, while this Agreement controls the general rules governing your membership.


1. Membership Relationship

Your membership provides a limited, personal, and revocable license to use the Modern Cowork facilities and benefits included with the membership plan selected at checkout. Your membership is not a lease, does not create a landlord-tenant relationship, and does not grant you any ownership or property interest in a Modern Cowork facility.

Modern Cowork memberships do not require a long-term real estate lease.

Monthly billing continues on a month-to-month basis until canceled in accordance with this Agreement. Annual billing is a discounted prepayment for a twelve-month access period and is governed by the annual cancellation terms below.

2. Eligibility and Account Responsibility

You must be at least eighteen (18) years old and legally able to enter into this Agreement.

Membership is personal to you and may not be sold, assigned, shared, or transferred.

You are responsible for maintaining accurate contact and payment information and for all activity involving your membership account, access code, key, key fob, digital credential, guests, and invitees.

You must notify Modern Cowork promptly if you believe an access credential has been lost, stolen, shared, or used without authorization.

3. Membership Plans and Benefits

Your access hours, included locations, printing privileges, conference-room credits, guest privileges, business-network benefits, Modern Hub discounts, and other membership features are determined by the plan selected at checkout and the corresponding current plan description.

Access to a primary location or both Modern Cowork locations depends on the selected membership plan.

Access to a facility does not guarantee the availability of a particular desk, room, workstation, parking space, or amenity at any specific time.

Modern Cowork may make reasonable, nonmaterial changes to amenities, operating hours, equipment, procedures, or facility layouts.

Material changes to recurring prices or core membership terms will be communicated in advance as required by applicable law.

4. Payments and Automatic Renewal

By completing checkout, you authorize Modern Cowork and its payment processor to charge the payment method provided for the initial payment and all recurring membership charges until cancellation becomes effective.

Monthly Billing

Monthly memberships automatically renew on the applicable monthly billing date.

Charges that become due during the required thirty-day cancellation notice period remain payable.

Annual Billing

Annual memberships are paid in advance at a discounted rate for a twelve-month access period.

Unless canceled, an annual membership automatically renews for another annual access period using the payment method associated with your account.

Annual payments are not prorated or refundable merely because you stop using the facilities or choose to cancel before the current prepaid period ends.

Modern Cowork will provide renewal or charge notices and an accessible cancellation method as required by applicable law.

Electronic receipts, renewal notices, and membership communications may be used for this purpose.

Taxes and separately purchased products or services may be charged in addition to your membership fee when applicable.

Modern Cowork may retry a failed payment and suspend membership access while an account remains past due. Continued nonpayment may result in termination of membership.

5. Cancellation

How to Cancel

Cancellation requests must be submitted in writing through the Modern Cowork online cancellation method or designated cancellation email. A telephone conversation, in-person conversation, social media message, or verbal statement alone does not constitute written notice of cancellation.

Submit a Cancellation Request

Monthly Memberships

You may cancel a monthly membership at any time by providing at least thirty calendar days’ written notice.

Membership access and payment responsibility continue through the effective cancellation date.

If a recurring charge falls within the thirty-day notice period, that charge remains due, and membership access continues for the corresponding paid period, subject to this Agreement.

Annual Memberships

You may cancel the next renewal of an annual membership at any time.

Cancellation takes effect at the end of the current prepaid annual period. You retain membership access through that date unless access is suspended or terminated for cause.

To ensure the next annual renewal is stopped, written notice must be submitted at least thirty calendar days before the scheduled renewal date.

No prorated refund or credit will be issued for unused time remaining in the current annual period, except when required by law or expressly approved by Modern Cowork.

Cancellation of a membership does not automatically cancel or refund separate room reservations, services, products, or other amounts already owed.

No Long-Term Lease

The thirty-day notice requirement is an administrative cancellation policy. It does not create a long-term real estate lease.

Annual billing is a prepaid, discounted billing option. Canceling an annual membership stops the next renewal but does not create a prorated refund for the annual period already purchased.

6. Conference Rooms, Credits, and Reservations

Conference rooms and other reservable spaces are subject to availability, booking procedures, posted rules, time limits, and any separate cancellation policy presented during reservation.

Included conference-room credits are determined by the membership plan selected at checkout.

Conference-room credits:

- Have no cash value.

- Are nontransferable.

- Do not roll over from month to month.

- Must be used while the corresponding membership remains active.

- Are subject to room availability and applicable booking procedures.

Additional conference-room use may be purchased at the applicable member or public rate.

Members must leave reserved spaces on time and in substantially the same condition in which they were found.

Modern Cowork may charge additional fees for overtime, excessive cleaning, damage, missing property, or unauthorized use.

7. Guests and Invitees

Guests are permitted only when allowed by the selected membership plan or a confirmed room reservation.

Members must remain onsite with their guests unless Modern Cowork expressly authorizes otherwise.

You are responsible for your guests’ and invitees’ conduct, safety, compliance with facility policies, and any damage they cause.

Modern Cowork may limit or revoke guest access when reasonably necessary.

8. Use of Modern Cowork Facilities

Modern Cowork facilities may be used only for lawful professional, business, educational, or approved personal work activities.

The following activities are prohibited:

- Residential use.

- Sleeping or overnight stays.

- Unauthorized retail or commercial activity.

- Hazardous activity.

- Illegal activity.

- Harassment, threats, violence, or discrimination.

- Conduct that unreasonably disrupts another person’s work.

- Misuse, theft, or intentional damage of Modern Cowork property.

- Repeated violation of posted facility policies.

Members must maintain reasonable cleanliness, professionalism, and respect for others.

Noise, telephone calls, meetings, food, equipment, and shared areas must be managed in accordance with posted rules and staff instructions.

9. Access and Security

Facility access may be provided through a code, key, key fob, mobile application, or other access credential.

Sharing, copying, publishing, or allowing another person to use your access credential is prohibited.

You must not allow unknown individuals to follow you into a Modern Cowork facility.

Security, safety, access, or maintenance concerns should be reported to Modern Cowork promptly.

Modern Cowork may temporarily restrict access or close all or part of a location for:

- Maintenance or repairs.

- Private or community events.

- Emergencies or safety concerns.

- Severe weather.

- Utility or internet outages.

- Legal requirements.

- Circumstances outside Modern Cowork’s reasonable control.

Reasonable temporary interruptions do not automatically entitle a member to a refund or credit.

10. Internet, Equipment, and Personal Property

Internet service, printers, furniture, equipment, refreshments, and other shared amenities are provided as available.

Modern Cowork does not guarantee uninterrupted, secure, or error-free internet or technology service and is not responsible for the content, security, or availability of third-party networks or services.

You are responsible for protecting your devices, passwords, confidential information, and personal property.

Personal property left inside a Modern Cowork facility is left at your own risk.

Modern Cowork is not responsible for theft, loss, damage, or disposal of abandoned property except to the extent liability cannot lawfully be excluded.

You are responsible for the reasonable cost of repairing or replacing property damaged through your misuse, negligence, or the conduct of your guests or invitees.

11. Modern Hub and Business-Network Benefits

Modern Hub services, virtual-office plans, partner services, consultations, headshots, discounts, and other business-network benefits are subject to separate availability, eligibility, scheduling requirements, service terms, and provider capacity.

Third-party providers are independent businesses and are responsible for their own products and services.

Unless expressly stated otherwise, Modern Cowork does not control or warrant the work performed by a third-party provider.

Unused partner benefits have no cash value, are nontransferable, and expire when the related membership ends.

12. Suspension and Termination by Modern Cowork

Modern Cowork may temporarily suspend access:

- While payment remains past due.

- During the investigation of a safety or policy concern.

- When reasonably necessary to protect members, guests, staff, property, or business operations.

Modern Cowork may terminate a membership immediately for:

- Nonpayment.

- Sharing or misusing access credentials.

- Fraud or illegal activity.

- Threats, harassment, or unsafe conduct.

- Serious or repeated policy violations.

- Damage or theft.

- Material breach of this Agreement.

Amounts already due remain payable.

A member terminated for cause is not entitled to a refund except when required by applicable law.

Modern Cowork may also discontinue a membership plan, close a location, or terminate a membership for legitimate business reasons unrelated to member misconduct.

In that circumstance, Modern Cowork will provide reasonable notice when practicable and an appropriate prorated refund or credit for prepaid, unused membership time if comparable access is not provided.

13. Assumption of Risk and Limitation of Liability

You voluntarily use Modern Cowork facilities, equipment, parking areas, entrances, and services and accept the ordinary risks associated with shared workspaces.

You are expected to use reasonable care and follow all posted safety instructions.

To the fullest extent permitted by law, Modern Cowork and its owners, employees, affiliates, and agents are not liable for:

- Indirect, incidental, special, or consequential damages.

- Lost profits, revenue, data, or business opportunities.

- Theft, loss, or damage involving personal property.

- Interruptions involving internet, utilities, equipment, or third-party services.

Nothing in this Agreement excludes liability that cannot lawfully be limited, including liability resulting from gross negligence or intentional misconduct where applicable.

14. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Modern Cowork and its owners, employees, affiliates, and agents from third-party claims, damages, losses, and reasonable costs arising from:

- Your unlawful conduct.

- Your material breach of this Agreement.

- Property damage caused by you.

- The conduct of your guests or invitees.

This obligation does not apply to the extent a claim is caused by Modern Cowork’s gross negligence or intentional misconduct.

15. Notices and Changes

Modern Cowork may send membership notices to the email address or telephone number associated with your account.

You are responsible for keeping your contact information current.

Material changes to recurring charges, renewal terms, or this Agreement will be communicated in a clear and retainable form as required by applicable law.

Continued use after the stated effective date constitutes acceptance only to the extent permitted by law. When required, Modern Cowork will obtain renewed consent.

16. Electronic Acceptance and Records

You consent to receive this Agreement, checkout disclosures, renewal notices, cancellation information, and related membership records electronically.

Checking the agreement box and completing checkout constitutes your electronic signature and authorization for recurring charges under the selected billing option.

You should download, print, or otherwise retain a copy of this Agreement and your checkout confirmation for your records.

17. General Terms

Governing Law

This Agreement is governed by Georgia law, without regard to conflict-of-law principles.

Entire Agreement

This Agreement, your checkout order, the incorporated membership-plan description, applicable reservation terms, and posted facility policies form the entire agreement governing your membership.

These materials replace prior discussions or understandings concerning the same membership.

Severability

If any provision of this Agreement is found unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions will continue in effect.

No Waiver

A delay or failure by Modern Cowork to enforce a provision does not waive the right to enforce that provision later.

Assignment

You may not assign or transfer this Agreement.

Modern Cowork may assign this Agreement in connection with a sale, reorganization, or transfer of the business or applicable facility.

Headings

Section headings are included for convenience and do not alter the meaning of this Agreement.

18. Member Acknowledgment

By checking:

“I agree to the Modern Cowork Membership Agreement and authorize recurring charges based on the billing option selected.”

and completing checkout, you acknowledge that you understand and accept the automatic-renewal, payment, cancellation, annual-payment, facility-use, access, and conduct terms contained in this Agreement.
